WAIVER, RELEASE and INDEMNITY AGREEMENT
IN CONSIDERATION, for being permitted to participate in any activities related to Durango Trails, including but not limited to trail building, maintenance, repair, flagging, signing, [hereinafter “the activity”], the undersigned, for myself, my spouse, legal representatives, heirs, and assigns, [hereinafter collectively “Releasor” and/or “Participant”] hereby releases, waives, releases, discharges and agrees to indemnify and hold harmless Durango Trails, its employees, agents, representatives, directors, officers, volunteers, affiliates, successors and assigns, [hereinafter collectively “Durango Trails"] for every cause of action, claim, injury, loss, demand, of any kind, for injury, death or damage to person or property, including consequential damages, occurring as a direct or indirect result, or arising out of participation in the activity, regardless of the cause, including, injury, death, or damage caused by the negligence, gross negligence or intentional conduct of Durango Trails. Releasor understands that there are inherent risks associated with participating inthe activity set forth above including, but not limited to physical injury, exhaustion, dehydration, death, or property damage, whether by the result of man-made or natural phenomena. Releasor understands that risks may be caused by many factors, including but not limited to uneven, slick, or irregular surface conditions, high elevation, heat, cold, wet conditions, marked and unmarked obstacles, rugged mountainous terrain, varying weather and visibility conditions, and contact with tools and equipment. Releasor, hereby knowingly and voluntarily, assumes the full risk of bodily injury, death or property damage due to any cause, including, but not limited to injury, death or property damage caused by the negligence, gross negligence or intentional conduct of Durango Trails or otherwise as a result of participation in the activity. Releasor understands that situations may arise during trail work which my be beyond the immediate control of the leader(s) and agrees to conduct myself and those under my control so as not to endanger myself or others. Releasor further agrees to inspect that tools and equipment supplied to participant before and during use and to notify Durango Trails of any dangerous or defective tools or equipment. In the event that participant uses any tools and equipment provided by Durango Trails, participant assumes the risk of use of said tools or equipment. Releasor represents that the participant does not have any medical conditions which would endanger myself or others or would interfere with my ability to participate in trail work. In the event of any asserted claim, Durango Trails shall provide the Releasor reasonably timely written notice of same, and thereafter the Releasor shall at its own expense defend, protect and hold harmless Indemnities against said claim or any loss or liability arising thereunder. In the further event the Releasor shall fail to so defend and/or indemnify and save harmless, then in such instance Durango Trails shall have full rights to defend, pay or settle said claim on their behalf without notice to undersigned and with full rights to recourse against the Releasor or all fees, including attorney’s fees, costs, expenses, judgments, and payments made or agreed to be paid to discharge said claim. Releasor, expressly agrees that this waiver, release, and indemnity agreement is intended to be as broad and inclusive as permitted by the laws of the State of Colorado, and that if any portion thereof is held invalid, it is agreed that the balance shall notwithstanding, continue in full legal force and effect. This agreement shall be unlimited as to amount and duration. In the event that this Agreement is signed by a parent or guardian, that parent or guardian, by signing below, represents to Durango Trails that he/she has the authority to enter into this Agreement on behalf of said minor and on behalf of any other parent or guardian of said minor and agrees to defend and indemnify and hold harmless Durango Trails from any and all claims or damages arising from the minor’s participation in the activity. This agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives, and shall be governed by the laws of the state of Colorado. Venue and Jurisdiction for any action arising out of this Agreement shall be La Plata County, Colorado. Any participant under the age of eighteen must be accompanied by a parent or guardian unless this restriction is waived by Durango Trails. If participant is a minor, both the minor and the parent or guardian must sign this Waiver, Release and Indemnity Agreement. Releasor authorizes Durango Trails, its employees, agents or representatives, to call for medical care for the participant, or to transport the participant to a medical facility or a hospital if such action is necessary in its discretion. Releasor agrees that, if Participant transports his/herself, or is otherwise turned over to an ambulance, medical transport, medical facility or hospital, Durango Trails will have no further responsibility to Participant. Releasor agrees to be solely responsible for all costs associated with medical care and transportation for Participant, and agrees to defend, hold harmless and indemnify Durango Trails from any such costs. Small children and pets are not permitted to accompany participant. The Releasor affirms that he/she is over the age of eighteen years of age, has carefully read this agreement, understands its contents, and freely and voluntarily agrees to its terms. By signing below, Releasor consent to the legally binding terms and conditions of this Agreement and further agree that Releasor’s signature on this document, if electronic, is as valid as if signed in writing.
